SPORT+MARKT AG General Terms & Conditions for online sales
GENERAL
The following stipulations regulate contractual relations between SPORT+MARKT AG, Luxemburger Str. 299, 50939 Cologne, Germany and the ordering party. By accepting the services of SPORT+MARKT AG, the ordering party acknowledges these General Terms & Conditions. The General Terms & Conditions and your electronic order form can be saved on computer and/or printed out.
ACCURACY OF INFORMATION PROVIDED
The ordering party confirms the accuracy of the information entered in the order form. The information to be provided shall be correct, complete and always up to date. SPORT+MARKT AG shall save the data on the ordering party in electronic form. The data shall exclusively be used for reasons pertaining to the contractual agreement according to the data protection act. SPORT+MARKT AG reserves the right to verify the information provided.
ORDER / DELIVERY
Upon sending the order, the ordering party submits a binding offer. The ordering party shall initially receive automatically-generated confirmation of receipt. This confirmation shall not represent binding acceptance of the order on the part of SPORT+MARKT. Entry into a contractual agreement shall only occur via separate written confirmation sent by eMail to the ordering party by SPORT+MARKT AG.
Complete registration on the provided data form shall be required in order to receive services. Orders via the internet shall be personally received and processed by an employee of SPORT+MARKT AG. Delivery of the order shall be implemented via eMail.
PRICES / MODES OF PAYMENT
The order of services shall be carried out via the appropriate online form from www.sportundmarkt.com. Payment shall be effected via invoice and, in selected cases, via advance payment (orders from abroad, unknown ordering party etc.). Upon placement of an order of EUR 15,000 or over, a down payment of 50% of the value of the contract shall be payable. The remaining fee shall be remunerated immediately following delivery.
TERMS OF USE
All content of reports and studies (such as graphics, tables, texts etc.) are the intellectual property of SPORT+MARKT AG and shall be subject to the applicable copyright law. Reproduction, publication and propagation in part or full shall be prohibited. The PDF reports sent by eMail shall be labelled with a unique electronic watermark. The ordering party shall be held responsible for damages arising from unauthorised usage or propagation to third parties.
DISCLAIMER
SPORT+MARKT AG shall assume no guarantee for the up-to-dateness and completeness of the information provided. In particular, SPORT+MARKT market analyses, reports and studies do not constitute customised consultancy services. The ordering party is aware that his/her claims for damages against SPORT+MARKT AG and its employees, auxiliaries and assistants shall be ruled out insofar as the damages were not caused deliberately or due to gross negligence. This shall not apply in the event of breach of fundamental contractual obligations. Liability for other damages shall be ruled out. SPORT+MARKT AG shall not be held responsible for collateral damage, and in particular, not for lost profit due to usage of SPORT+MARKT AG services, unless these damages are deliberate or due to the gross negligence of SPORT+MARKT AG employees or legal representatives.
DATA PROTECTION
The ordering party consents to his/her data being compiled, stored and edited for the purpose of communication with himself/herself and exchange of information within SPORT+MARKT AG. In the event the ordering party should wish that personal data is not stored or edited following delivery of the data for the purpose of contact at a later date, the personal data shall be deleted at the request of the ordering party following completion of delivery. In the event that storage and editing is no longer desired, this consent can be withdrawn at any time. Requests for withdrawal should be submitted in writing to: SPORT+MARKT AG, Luxemburger Str. 299, 50939 Cologne, Germany.
CANCELLATION PERIOD
(1) Right of withdrawal: The following right of withdrawal shall apply pursuant to legal regulations for private individuals / consumers. Consumers can withdraw their order in written form (e.g. letter, fax, eMail) within two weeks without specifying a reason. At the earliest, the deadline shall commence upon receipt of this information. Dispatch of the withdrawal in due time shall suffice to fulfil the cancellation period. Withdrawal shall be addressed to: SPORT+MARKT AG, Luxemburger Str. 299, 50939 Cologne, Germany.
(2) Consequences of cancellation: In the event of effective withdrawal, services/payments received by both parties shall be returned and, as the case may be, benefits derived from the services/payments shall also be surrendered. In the event that you are unable to return the services/materials to us in full, or in damaged condition, you shall compensate us for the depreciation in value. This shall not apply if the deterioration in the condition can exclusively be attributed to the checking process (as could occur in a retail outlet). In addition, it shall be possible to avoid the payment of compensation if you refrain from using the material as its owner and causing any damage which could affect its value.
PLACE OF JURISDICTION AND APPLICABLE LAW
Insofar as the ordering parties are business people, legal persons governed by public law or special funds under public law, the place of jurisdiction for this agreement according to the wishes of the vendor shall be Cologne or the general place of jurisdiction of the purchaser. This contractual agreement shall be subject to German law.
